Microsoft Applications Terms of Use
Last updated: November 6, 2026
These Terms of Use (“Terms”) govern your use of the Microsoft 365 applications published by Némoura (the “Publisher”) on Microsoft Marketplace / AppSource, including Foundry Agents by Némoura (the “App”). By installing, deploying or using the App, you agree to these Terms. If you accept these Terms on behalf of an organization, you confirm that you are authorized to bind that organization.
1. Publisher
Némoura, 193 Boulevard de la Madeleine, Bât. 11, 06000 Nice, France. Registration number (SIREN): 895 277 697. Contact: contact page.
2. License
The Publisher grants you a non-exclusive, non-transferable, revocable license to install and use the App within your Microsoft 365 tenant for your internal business purposes, subject to these Terms. You may not resell, sublicense, decompile or redistribute the App, except where applicable law expressly permits it.
3. How the App works
The App is a client-side SharePoint Framework solution. It runs in the user's browser, in SharePoint and Microsoft Teams, and connects directly to the Azure AI Foundry project and other Microsoft services configured by your administrator, using the signed-in user's Microsoft Entra identity. The Publisher operates no backend for the App and does not receive your data. See our Privacy Policy.
4. Your responsibilities
- You are responsible for your Microsoft 365 and Azure subscriptions, the Azure AI Foundry resources, agents, models and tools you configure, and all related costs charged by Microsoft.
- You are responsible for granting API permissions, assigning roles and configuring access in a way that complies with your internal policies and applicable law.
- You must use the App and the AI agents it connects to in compliance with the Microsoft Product Terms, the Microsoft Enterprise AI Services Code of Conduct and applicable law.
5. AI-generated content
Answers are generated by the AI models and agents you configure in Azure AI Foundry. They may be inaccurate, incomplete or inappropriate. You must review AI-generated content before relying on it, in particular for legal, financial, medical or other important decisions. The Publisher is not responsible for the content generated by your agents or for actions they perform with the tools you enable.
6. Third-party services
The App relies on services provided by Microsoft (Microsoft 365, Microsoft Graph, SharePoint, Teams, Azure AI Foundry). Your use of these services is governed by your agreements with Microsoft. The Publisher is not responsible for their availability, performance or changes.
7. Updates and support
The Publisher may update the App to fix issues, add features or comply with Microsoft requirements. Support requests can be sent through our contact page. Support is provided on a reasonable-effort basis unless a separate agreement says otherwise.
8. Intellectual property
The App, its code, design and documentation remain the property of the Publisher. You keep all rights to your data and to the content you and your agents create.
9. Disclaimer of warranties
The App is provided “as is” and “as available”, without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the extent permitted by applicable law.
10. Limitation of liability
To the extent permitted by applicable law, the Publisher shall not be liable for any indirect, incidental, special or consequential damages, loss of data, profits or business arising from the use of or inability to use the App. Nothing in these Terms limits liability that cannot be limited by law.
11. Termination
You may stop using the App at any time by removing it from your tenant app catalog. The Publisher may suspend the license if you breach these Terms.
12. Changes to these Terms
The Publisher may update these Terms. The “Last updated” date above shows the latest version. Continued use of the App after an update means you accept the updated Terms.
13. Governing law
These Terms are governed by French law. Any dispute shall be submitted to the competent courts of Nice, France, unless mandatory consumer protection rules provide otherwise.
